In exchange for us providing you with an exceptional retreat opportunity described fully under the retreats tab at Yogaflowsandra.com (“Our Webpage”), you agree to the following terms and conditions of this Contract (“Terms and Conditions”) for the specific yoga retreat destination, dates, and pricing that you select on Our Webpage (the “Yoga Retreat”). 1. Yoga Retreat Attendance To attend the Yoga Retreat, you must: • Agree to pay the Yoga Retreat purchase price per person specified on Our Webpage in UK Pounds Sterling and accept all other Terms and Conditions in this Contract, • Complete and submit the online registration form and PARQ form • Submit a nonrefundable, non-transferable deposit via bank transfer upon receipt of an invoice which goes towards the full price of the Yoga Retreat (“Deposit”) or submit your payment in full within specified deadlines. 2. Early Bird Rates and Balance Due Dates Your deposit pays towards the full rate of the Yoga Retreat. To qualify for the Early Bird discount (“Early Bird Discount”), you must either pay in full or make your deposit by the early bird deadline as listed on Our Webpage (the “Early Bird Deadline”), and agree to pay the balance of the Yoga Retreat price by the balance due date listed on Our Webpage (the “Final Payment Due Date”) or on the invoice. For those who do not qualify for the Early Bird Discount, you must pay in full or make your Deposit and agree to pay your balance of the Yoga Retreat price on or before the “Final Payment Due Date”. If you are paying after the Final Balance Due Date your payment must be in one full charge rather than a separate Deposit and Balance payment charge. 3. Travel and Health Insurance We do not offer or include travel or health insurance in any Yoga Retreat purchase. You are strongly advised to purchase your own policy to cover cancellation, curtailment, medical expenses, and loss, theft or damage to personal belongings. Refunds, if any, are only as set out in the Guest Cancellation Policy (Clause 4). We cannot reimburse external costs such as travel, visas, tests, or accommodation outside the retreat. 4. Guest Cancellation Policy If you need to cancel your Yoga Retreat, please notify us in writing (email). Refunds depend on the timing of your cancellation and whether your place can be filled, and are subject to a £50 administrative fee. Before the Final Payment Due Date • Full refund (minus £50 admin fee): If you find someone to take and pay for your place, we will refund your payments once they have registered and paid in full, minus the £50 admin fee.* • Refund minus deposit (and £50 admin fee): If we find someone to take and pay for your place, we will refund your payments once they have registered and paid in full, minus the non-refundable, non-transferable deposit and the £50 admin fee.* After the Final Payment Due Date • No refund if you cancel and we cannot fill your place, or if you fail to attend the retreat. • Shared rooms: If a shared-room booking becomes a single because a named roommate cancels and no suitable replacement is found/accepted, the remaining guest is responsible for the single supplement (see Shared Rooms clause). This is not a ground for a refund. Notes The Final Payment Due Date is listed on the retreat webpage and/or your invoice. Any replacement must complete registration, accept the T&Cs, and pay in full directly to us before any refund is issued. *• We highly recommend that you find your own replacement to take your spot. We cannot look for replacements until we have sold all of the spots for our Yoga Retreat. If you find someone to take your spot, your replacement must complete and submit the registration and PARQ forms, pay in full for the Yoga Retreat directly through bank transfer, and accept all of the Terms and Conditions of this contract associated with the Yoga Retreat purchase, including COVID policies, liability waivers, and travel and health insurance recommendations. When payment for your replacement is processed, and waivers are signed, we will issue any refunds. We reserve the right to recover from you any amount due after Deposit, which you have not paid to us by the Final Payment Due Date. Costs are not pro-rated or in any way discounted if arriving late or departing early or for guests who choose not to partake in meals, yoga classes, or excursions. 5. Our Cancellation, Postponement, or Changes to Yoga Retreat • Under-enrolment: We reserve the right to cancel any Yoga Retreat prior to departure in the event of under-enrolment. We will fully refund any and all payments you have made to us for the Yoga Retreat. You will not be entitled to claim any additional amounts or seek any compensation for any injury, loss, expense or damage (either direct, indirect or consequential) or for any loss of time or inconvenience that may result from such cancellation (including but not limited to visa, passport and vaccination charges, or departure, gear purchases, airport, airfare and airline taxes). • Force Majeure: In the event of a force majeure which causes the Yoga Retreat to be cancelled or postponed, we hold no liability, financial or otherwise. We may, however, seek to offer alternative yoga events in lieu. Should the alternative dates and times not suit you, you would seek reimbursement from your personal travel insurance. • We reserve the right to make changes to any aspect of the Yoga Retreat if deemed necessary to do so. Such decisions would be made at our discretion, based on threat or hazardous conditions, and in the best interest of your incolumity. • If the yoga teacher listed on Our Webpage for the Yoga Retreat is unable to lead the trip due to illness, injury, or any other reason, we will make every effort to enlist another similarly qualified and experienced yoga teacher to lead the Yoga Retreat. Should this modify the program or cause postponement or delay, you acknowledge that you will have no right of refund of the Yoga Retreat price (whether in whole or in part) and no right to claim compensation for any injury, loss or damage or other additional expenses incurred by virtue of the change, modification, cancellation postponement or delay. 6. Participant Liability for Property Damage In the event that the venue management notifies Alessandra Paternostro or Yogaflowsandra of any damage to the property or the need for extra cleaning attributable to a participant during the Yoga Retreat, the participant shall be solely liable for such damage or cleaning expenses. The participant acknowledges and agrees that any costs incurred by the venue for repairs, replacements, or additional cleaning due to the participant's actions shall be the responsibility of the participant. This liability extends only to damages or cleaning needs directly caused by the participant or within the area of accommodation assigned to them. Alessandra Paternostro or Yogaflowsandra shall have the right to recover such costs from the participant, which may include pursuing legal action if necessary. The participant acknowledges their responsibility to maintain the premises in good condition and to promptly report any damages or issues to the venue management. 7. Shared Rooms & Roommate Matching Shared rooms are sold to pairs booking together. Solo guests may request a roommate match; this is not guaranteed. If no suitable match is confirmed by the Final Payment Due Date shown on the retreat webpage or invoice, your booking will convert to a single and the single supplement becomes payable. We will continue to seek a match up to the retreat start; if a match is confirmed after the supplement has been paid, the rate will revert to the shared price and any difference will be refunded. Lack of a match is not grounds for penalty-free cancellation; the standard cancellation terms apply. 8. Extra Activities & Yoga Retreat Schedule Our Webpage lists included activities on your Yoga Retreat. Anything not listed is not included in the Yoga Retreat price. 9. Photography/Videography We will be taking photographs and videos of the Yoga Retreat for marketing and promotional purposes. You consent to us taking those photographs and videos and grant us the royalty-free right to use them for those purposes. If you would like to be excluded from photography/videography during the event, please let us know ahead of time and we will do our best to accommodate you. 10. COVID-19 You agree to follow any government guidelines for COVID-19. We will provide no refund or other reimbursement to you if you are unable to participate in the Yoga Retreat due to illness such as COVID 19 prior to trip departure or during the Yoga Retreat but reimbursement can typically be sought from most personal travel insurance policies. If you test positive for Covid while on Yoga Retreat, you agree to quarantine. 11. Misconduct and Early Departure For the benefit of everyone, we reserve the right to accept or reject any participant at any time without liability - financial or otherwise - should we deem them disruptive to or disrespectful of the Yoga Retreat. If asked to leave the Yoga Retreat for disruptive behaviour, there will be no refund or compensation. If you leave the Yoga Retreat prior to its conclusion or for any activity that you undertake, which is not included on the Yoga Retreat itinerary, you have no right to refund or compensation. 12. Fitness and Health You acknowledge that you are medically, physically, emotionally and in all respects fit and able to participate in a Yoga Retreat. You also agree that you will be fully responsible for your own physical condition and well-being during the Yoga Retreat, and will follow the safety precautions and instructions that we prescribe. You have the ultimate responsibility for your choices and realise that we are not a licensed medical provider. We will offer modifications for different yoga experience levels, but it is your responsibility to listen to your body, modify, and rest as needed. You will not hold us responsible for any pain or discomfort you experience during or after the Yoga Retreat. 13. Assumption of Risk Although we are dedicated to your safety, you must take responsibility for your own safety and assume the risks and hazards inherent with travel and physical activities at the Yoga Retreat, including the practice of vigorous forms of yoga. These risks and hazards may include, but are not limited to: delays, injury, illness, death, loss of or damage to your property, exposure to food allergens. They may be caused by force majeure, negligence of other persons (including third party operators), and the intentional misconduct of other persons. 14. Indemnification and Hold Harmless Upon reserving participation in the Yoga Retreat, you acknowledge and assume all risks associated with the Yoga Retreat, to the maximum extent permitted by law, and accept responsibility (financial and otherwise) and release, waive, discharge, and agree to indemnify, defend and hold harmless Alessandra Paternostro and Yogaflowsandra and anyone acting on its behalf, including its principals, managers, employees, agents, and other representatives (called “Indemnified Parties”) from any and all claims, damages, actions or losses for bodily injury, property damage, wrongful death, loss of services, lost profits, lost earnings, consequential, exemplary, direct, indirect or punitive damages and any attorneys’ fees and costs incurred defending against these claims or enforcing this Contract that may arise out of or occur during your travel and/or permanence, in connection with the trip, the Yoga Retreat, or any activities conducted in conjunction therewith, including yoga practices, massages and spa treatments or healing sessions, meals, exposure to food allergies or allergens, and guided tours and excursions with third party outfitters, unless caused by the gross negligence or wilful misconduct of the Indemnified Parties. 15. Food and Meals We will provide meals during the retreat as described on Our Webpage and will make every effort to ensure you are appropriately catered for throughout your stay. While we endeavor to maintain the planned approach to meal service, unforeseen circumstances—such as changes in ingredient availability or the chef’s unavailability—may require adjustments. In such cases, we will ensure that all meals promised are provided, though the specific menu may vary. You are responsible for informing us in writing of any dietary restrictions or allergies prior to the retreat. While we will make reasonable efforts to accommodate such requests, we cannot guarantee that all dietary requirements will be met, nor do we accept liability for food preferences, allergic reactions, or foodborne illnesses. YOU SHALL NOT PARTICIPATE IN ANY YOGA RETREAT WITH ALESSANDRA PATERNOSTRO YOGAFLOWSANDRA WITHOUT FIRST ACCEPTING ALL OF THE FOREGOING TERMS AND CONDITIONS. PLEASE SIGN AND DATE BELOW TO INDICATE YOU AGREE TO THE TERMS AND CONDITIONS OF THIS RETREAT CONTRACT.
